Michael J. Semack's practice emphasizes entity formation, corporate and securities law, licensing, mergers and acquisitions, commercial litigation and appellate practice. Mr. Semack also has experience in the creation of not-for-profit entities. In particular, his experience includes representing buyers and sellers (public and private as well as international and domestic) in acquisitions and divestitures through mergers (including through tender offers), reorganizations and sales of stock and assets; representing issuers in private placements, public offerings and ongoing SEC compliance matters. Mr. Semack represents entrepreneurs in the formation of various businesses and thereafter as corporate counsel; he also represents clients in the licensing and acquisition of intellectual property; and representing borrowers and lenders in secured and unsecured debt financings.
